The User expressly acknowledges that the use of the Software is at their sole risk and responsibility. This disclaimer of warranties and limitation of liability is an essential part of this License Agreement and conditions the User’s acceptance of it.
9. TERM AND TERMINATION
Where access to the Software, or any part thereof, is linked to a subscription, the license granted to the User shall be limited, non-exclusive, revocable, non-transferable, and valid only for the duration of the active subscription period.
During this period, the User may use the Software solely in accordance with the terms of this agreement and within the functional scope defined by the specific subscription plan. Upon expiration of the subscription, and in the absence of renewal, the license shall automatically terminate with respect to the features covered by the subscription, without any prior notice required by the Company.
However, the EULA may be automatically terminated without prior notice by FLUIDIC.IO, S.L. if the User breaches any of the obligations, conditions, or restrictions set forth in this agreement, whether in whole or in part. In such cases, termination shall be immediate, without further notification, and without prejudice to any other legal or contractual actions that FLUIDIC.IO, S.L.
may be entitled to pursue due to the breach.
Upon termination of the agreement, whether by the User, by FLUIDIC.IO, S.L., or for any other legally permissible reason, the User shall immediately cease all use of the Software; permanently delete all copies of the Software in their possession, whether physical or digital, including copies installed on devices, servers, storage systems, or any other equipment; and refrain from attempting to install, run, or access the Software again without proper authorization.
The termination of this EULA shall not affect those provisions which, by their nature, are intended to survive termination, such as those related to limitation of liability, intellectual property, confidentiality, or data protection.
10. SUSPENSION, LIMITATION OR TERMINATION DUE TO NON-PAYMENT
In the event of late payment, failed transaction, revocation of the payment method, or any condition that prevents effective billing of the subscription fee, the Company reserves the right to suspend, limit, or immediately terminate the User’s access to the subscription-based features.
Such suspension may be enforced without prior notice, although the Company may at its discretion issue warnings or payment reminders through the User’s registered contact information. Suspension or termination due to non-payment shall not entitle the User to compensation, refund, or continued access to any data, settings, or preferences that are dependent on an active subscription.
11. CHANGES TO SUBSCRIPTION PLANS AND INCLUDED FEATURES
The Company reserves the right to modify at any time the terms, pricing, content, or scope of the subscription plans, including the addition, alteration, or removal of specific features.
Such modifications shall be communicated to the User with reasonable notice through electronic or other appropriate channels. In the event of material changes that significantly impact the use or value of the subscribed Software, the User may choose not to renew the subscription at the end of the current billing cycle. Continued use of the Software after the changes take effect shall constitute acceptance of the new terms.
12. APPLICABLE LAW AND JURISDICTION
This EULA shall be governed by Spanish law. In the event of any dispute, both parties expressly submit, waiving any other jurisdiction that may correspond to them, to the Courts and Tribunals of the city of Barcelona.
13. ENTIRE AGREEMENT
This End User License Agreement (EULA) constitutes the full, sole, and binding agreement between the User and FLUIDIC.IO, S.L. regarding the use of the Software, and supersedes and renders void any prior communication, negotiation, proposal, agreement, or understanding, whether oral or written, that the parties may have had concerning the subject matter of this agreement.
The parties expressly acknowledge that they have not relied on any statement, commitment, warranty, or representation other than those expressly set forth in this EULA to enter into this agreement, and that any modification, extension, or exception to its terms must be made in writing and expressly accepted by both parties.
If any provision, clause, or term of this EULA is declared null, invalid, or unenforceable, in whole or in part, by a final court ruling or any competent authority, such provision shall be deemed excluded, without affecting the validity, legality, and enforceability of the remaining terms, which shall remain fully valid and enforceable.
IF YOU DO NOT ACCEPT THESE TERMS, YOU MUST NOT INSTALL OR USE THE SOFTWARE.
